Hi, all.
We're almost ready to incorporate VanLUG as a non-profit society under
the BC Society act. If you would like to sign the application and be a
charter member of VanLUG, please send me your name, address, and postal
code.
If possible, please attend our Steering Committee meeting on Wednesday,
December 30 so that you can sign the document.
At the meeting, we'll be calling for volunteers to serve as president,
vice-president, secretary, and treasurer. Since VanLUG doesn't
officially exist yet, we'll be polling those who sign the application
for their advice in selecting the first directors.
Anyway, here are answers to some FAQ's:
1. Why are we incorporating VanLUG?
To limit the liability of VanLUG event organizers when entering into
agreements on behalf of the group or in the event legal action is
taken against the group for whatever reason.
To be officially recognized as a non-profit society so we won't be
assessed tax or service charges by Revenue Canada and/or financial
institutions.
2. Is incorporation as a non-profit society complicated?
No, it's *much* simpler than incorporating a for-profit company.
All we have to do is to reserve the name of our group (which we've
already done)(filing fee: $30), then submit two or three pages
of paperwork (filing fee: $75) which give:
a. VanLUG's purpose - why we exist.
b. If different from the standard bylaws specified in
Schedule B of the Society Act (which, IMHO, are just fine,
albeit with one notable exception), how we plan to:
i. admit (and, if necessary expel) members,
ii. call and vote at general meetings,
iii. appoint and remove the officers of the society
(president, vice-president, secretary, treasurer, etc)
iv. maintain financial, membership, and meeting records
c. The mailing address of VanLUG.
d. The mailing addresses of the first directors (president,
vice-president, secretary, treasurer, etc.) of the society.
The first two items comprise VanLUG's constitution. Here's my
proposal. Note that I've recommended that our bylaws be modified to
allow us to send notices to our members by e-mail as well as in person
or by post. If you have any comments or suggestions, please let me
know.

SOCIETY ACT
CONSTITUTION
1. The name of the society is the Vancouver Linux Users Group Society.
2. The purposes of the society are:
a. To promote the use of Linux (a freely distributable, UNIX-like
computer operating system developed by Linus Torvalds and a
team of international collaborators) by individuals, businesses,
organizations, institutions, and others, particularly those in
Greater Vancouver.
b. To foster collaboration and cooperation between Linux/UNIX users
and developers, particularly those in Greater Vancouver.
c. To provide a focus for Linux/UNIX advocacy, training, and support
by the Linux/UNIX community in Greater Vancouver.
BYLAWS
The bylaws of the society are those set out in Schedule B to the
Society Act, with the following variations, deletions, and additions:
Bylaw 58 of Part 11 - Notices to Members - be revised to:
A notice may be given to a member by any of three means: personally,
by mail to the member at the member's registered postal address, or,
|| if available, by electronic mail to the member at the member's
|| registered e-mail address.
